1. Introduction

These Terms of Service ("Terms") govern your access to and use of Vaultsy ("Platform", "we", "us", "our"), a marketplace platform for digital products. By accessing or using Vaultsy, you agree to be bound by these Terms.

Vaultsy operates as a marketplace platform connecting content creators ("Creators", "Sellers") with buyers ("Buyers", "Customers"). We are not a seller of digital products. Creators are independent third parties responsible for their content.

2. Definitions

• Platform: The Vaultsy website and all associated services
• Creator: A registered user who uploads and sells digital products
• Buyer: A person who purchases digital products from Creators
• Vault: A digital product listing created by a Creator
• GMV: Gross Merchandise Value - total sales value before fees
• Payout: Funds transferred from Vaultsy to a Creator's bank account
• Affiliate: A user who promotes Creator products for commission

3. Account Registration

3.1 Eligibility

You must be at least 18 years old to create an account. By creating an account, you represent and warrant that:

• You are at least 18 years of age
• All information you provide is accurate and current
• You will maintain the accuracy of your information
• You are legally capable of entering into binding contracts

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials. You agree to:

• Keep your password secure and confidential
• Notify us immediately of any unauthorized access
• Be responsible for all activities under your account
• Not share your account with others

3.3 Beta Access

During the beta period, registration requires an invite code. We may limit the number of beta users.

4. Terms for Creators

4.1 Content Ownership and Licensing

You retain full ownership of your content. By uploading content to Vaultsy, you grant us a non-exclusive, worldwide, royalty-free license to:

• Host, store, and deliver your content to buyers
• Display your content in our marketplace
• Process payments on your behalf
• Create thumbnails and previews for marketing purposes

4.2 Content Requirements

You agree that your content:

• Is your original work or you have proper licensing rights
• Does not infringe on third-party intellectual property
• Does not contain illegal, harmful, or prohibited material
• Complies with all applicable laws and regulations
• Matches the description and preview you provide

4.3 Prohibited Content

You may not upload or sell:

• Illegal or copyrighted content without authorization
• Adult content, pornography, or sexually explicit material
• Content promoting violence, hate, or discrimination
• Malware, viruses, or harmful software
• Stolen or leaked content
• Content violating privacy rights

4.4 Pricing

You set your own prices in EUR ($). Prices must be reasonable and accurately reflect the value of your content. We reserve the right to remove listings with deceptive pricing.

4.5 Fees and Payouts

Platform Fees:

• Creator receives: 85-89% of sale price (based on loyalty tier)
• Platform fee: 12-8% (variable, decreases with loyalty tier)
• Payment processing fee: ~3% (Stripe/PayPal)
• No monthly subscription fees

Loyalty Reward Tiers (based on 90-day GMV):

• Starter (85%): $0 - $999
• Growth (86%): $1,000 - $2,999
• Pro (87%): $3,000 - $7,499
• Elite (88%): $7,500 - $9,999
• Legend (89%): $10,000+

Payout Terms:

• Payouts processed through Stripe to your bank account
• Funds available according to your Stripe payout schedule
• Typically 2-3 business days after payout is initiated
• Refunded transactions deducted from future payouts

4.6 KYC Verification

To create payment links and receive payouts, you must complete identity verification (KYC) via Veriff. This is required by law for payment platforms to prevent fraud and money laundering. You must provide:

• Government-issued ID (passport, ID card, or driver's license)
• Selfie verification
• Accurate personal information

Your data is encrypted and stored securely. We comply with GDPR regulations.

4.7 Storage Limits

Each Creator account receives 100 GB of cloud storage. All uploaded files count toward this limit. We reserve the right to remove content or suspend accounts exceeding the storage limit.

4.8 Refunds and Disputes

You are responsible for handling customer support and refund requests. Excessive refund rates may result in account review or suspension. We may process refunds on your behalf in cases of:

• Fraudulent transactions
• Content not matching description
• Chargebacks from payment processors
• Legal requirements (e.g., EU withdrawal rights)

4.9 Creator Liability and Content Responsibility

By uploading and selling content on Vaultsy, you explicitly acknowledge and agree to the following:

Content Ownership:

• You are solely and exclusively liable for all content you upload, distribute, and sell through the Platform
• You may only upload and sell content that you created and own 100% of the rights to
• If you did not create the content yourself, you must have obtained written permission from the legal copyright holder to distribute and sell it commercially
• You warrant and represent that you have all necessary rights, licenses, and permissions for every file you upload

Platform Liability:

• Vaultsy assumes no liability for Creator content
• We are a neutral marketplace platform and do not verify, validate, or take responsibility for content uploaded by Creators
• Creators are independent third parties responsible for their own content and business activities

Your Responsibilities:

• You are fully responsible for any legal claims, damages, penalties, fines, or litigation arising from copyright infringement, trademark violations, intellectual property theft, or unauthorized distribution
• You must indemnify and defend Vaultsy against all claims, lawsuits, damages, and legal fees resulting from your content or violation of third-party rights
• You are responsible for ensuring your content does not violate any laws, regulations, or third-party rights

Consequences of Violation:

Uploading content you do not own or have permission to sell will result in:

• Immediate account suspension or termination
• Removal of all your content from the Platform
• Forfeiture of any pending payouts
• Permanent ban from the Platform
• Legal action and pursuit of damages

5. Terms for Buyers

5.1 Purchases

When you purchase a digital product:

• Payment is processed securely via Stripe
• You receive instant access to download the content
• Only an email address is required (anonymous purchases)
• You receive a license for personal, non-commercial use

5.2 License Grant

By purchasing digital content, you receive a non-exclusive, non-transferable license to:

• Download and use the content for personal purposes
• Store the content on your personal devices

You may NOT:

• Resell, redistribute, or share the content
• Use the content for commercial purposes (unless explicitly allowed)
• Remove copyright notices or watermarks
• Claim ownership of the content

5.3 EU Withdrawal Rights

EU customers have a 14-day withdrawal right under EU law. However, by downloading digital content, you explicitly waive this right as the content has been delivered in full.

5.4 Refunds

Refunds are handled by the Creator. Contact the Creator directly for refund requests. Vaultsy does not guarantee refunds but may intervene in cases of fraud or misrepresentation.

5.5 Content Disclaimer

Vaultsy does not own or control the content sold by Creators. We are not responsible for:

• Quality, accuracy, or completeness of content
• Creator's compliance with laws or regulations
• Technical issues with downloaded files
• Copyright infringement by Creators

6. Affiliate Program

6.1 Commission Structure

• Launch Rate (0-90 days): 8% commission
• Standard Rate (91+ days): 5% commission
• VIP Rate (100+ referrals): 7% commission

6.2 Affiliate Rules

Affiliates must:

• Accurately represent the products they promote
• Comply with advertising and marketing laws
• Not use spam, misleading ads, or unethical practices
• Disclose affiliate relationships as required by law

6.3 Cookie Duration

Affiliate referral tracking uses cookies with a standard duration. Last-click attribution applies.

7. Payments and Taxes

7.1 Payment Processing

All payments are processed through Stripe. By using Vaultsy, you also agree to Stripe's Terms of Service.

7.2 Taxes

Creators are responsible for:

• Calculating and paying all applicable taxes
• VAT/GST obligations based on their jurisdiction
• Issuing invoices to customers if required
• Maintaining tax records

Vaultsy does not provide tax advice. Consult a tax professional for your specific situation.

8. Intellectual Property

8.1 Platform IP

Vaultsy and all related trademarks, logos, and content are owned by Vaultsy. You may not use our intellectual property without explicit written permission.

8.2 DMCA / Copyright Infringement

We respect intellectual property rights. If you believe content on Vaultsy infringes your copyright, contact us at [email protected] with:

• Description of the copyrighted work
• URL of the infringing content
• Your contact information
• Statement of good faith belief
• Statement under penalty of perjury
• Your physical or electronic signature

We will investigate and take appropriate action, including removing content and terminating repeat infringers.

9. Privacy and Data Protection

Our Privacy Policy (available at /privacy) explains how we collect, use, and protect your personal data. By using Vaultsy, you consent to our data practices as described in the Privacy Policy.

We comply with GDPR and other applicable data protection laws. Your data is:

• Encrypted in transit and at rest
• Stored on secure servers (AWS)
• Only accessed by authorized personnel
• Not sold to third parties

10. Prohibited Activities

You agree NOT to:

• Violate any laws or regulations
• Infringe on intellectual property rights
• Upload malware, viruses, or harmful code
• Engage in fraud, phishing, or deceptive practices
• Harass, threaten, or abuse other users
• Manipulate reviews or ratings
• Create multiple accounts to abuse referral programs
• Reverse engineer or attempt to hack the platform
• Scrape or harvest data without permission
• Use automated tools (bots) without authorization

11. Account Termination

11.1 By You

You may close your account at any time. Outstanding balances will be paid according to our normal payout schedule.

11.2 By Us

We may suspend or terminate your account if you:

• Violate these Terms of Service
• Engage in fraudulent or illegal activities
• Upload prohibited content
• Receive excessive chargebacks or refund requests
• Fail KYC verification
• Are inactive for an extended period

We will provide notice when possible, but may terminate immediately for serious violations.

12. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING:

• MERCHANTABILITY
• FITNESS FOR A PARTICULAR PURPOSE
• NON-INFRINGEMENT
• UNINTERRUPTED OR ERROR-FREE SERVICE

We do not guarantee:

• Availability or uptime of the platform
• Accuracy or reliability of content
• Success of sales or revenue generation
• Prevention of unauthorized access or data breaches

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VAULTSY SHALL NOT BE LIABLE FOR:

• INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES
• LOST PROFITS, DATA, OR BUSINESS OPPORTUNITIES
• DAMAGES RESULTING FROM THIRD-PARTY CONTENT
• UNAUTHORIZED ACCESS OR DATA BREACHES
• SERVICE INTERRUPTIONS OR DOWNTIME

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO VAULTSY IN THE PAST 12 MONTHS, OR $100, WHICHEVER IS GREATER.

14. Indemnification

You agree to indemnify and hold Vaultsy harmless from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your violation of these Terms
• Your content or products
• Infringement of third-party rights
• Your use of the platform
• Your breach of applicable laws

15. Dispute Resolution

15.1 Informal Resolution

15.2 Governing Law

These Terms are governed by the laws of the European Union and the jurisdiction where Vaultsy is registered, without regard to conflict of law provisions.

15.3 Jurisdiction

Any legal disputes shall be resolved in the courts of the jurisdiction where Vaultsy is registered.

16. Changes to Terms

We may update these Terms at any time. We will notify you of material changes via:

• Email notification
• Platform announcement
• Updated "Last Modified" date

Continued use of the platform after changes constitutes acceptance of the new Terms.

17. Miscellaneous

17.1 Entire Agreement

These Terms, along with our Privacy Policy, constitute the entire agreement between you and Vaultsy.

17.2 Severability

If any provision is found unenforceable, the remaining provisions shall remain in effect.

17.3 Waiver

Our failure to enforce any provision does not waive our right to enforce it later.

17.4 Assignment

You may not transfer your rights under these Terms. We may assign our rights to a successor or affiliate.

17.5 Force Majeure

We are not liable for delays or failures due to events beyond our reasonable control (natural disasters, wars, strikes, government actions, etc.).
